MAIN FUNCTIONS: Provides legal support to assigned attorneys or projects by conducting research, organizing files, scheduling depositions and maintaining records. Researches various states? requirements for licensing and certification requirements and prepares documents as needed. Coordinates and gathers input across multiple corporate disciplines including: Accounting, HR, Risk Management and Procurement. Maintains files/database to ensure no lapses in certifications. Supports on-going projects and monitor compliance with contract requirements/certifications. Minimal work direction needed, highly skilled and knowledgeable to the position. Able to supervise other junior paralegals if needed. This position might be described as an expert Paralegal or Law Clerk with some law training but not an attorney.
SKILLS AND QUALIFICATIONS: Research skills, legal administration skills, organization, planning, and attention to detail.
Unconventional contract experience is a plus
Strong writing skills
Familiarity with commercial principles (and reviewing/negotiating langauge regarding same)
Experience negotiating MSAs or similar framework agreements
Prefer oil/gas or manufacturing experience in Procurement, Supply Chain or Legal
Advanced skills in Microsoft Word (formatting/redlining)
tasks include - Subagreement review/preparation
Attend kickoff meeting and determine whether any of the existing templates fit the need or whether additional support/language is required
Writing fit-for-risk language to support commercial strategy established by the categories
Support review and drafting of a variety of templates (or at least issue spotting and making observations on inconsistencies, as part of a “cold eyes review”
Prepare summary and analysis and participate in review of templates with functional stakeholders
Support questions from stakeholders and provide guidance to Master Contracts team on complex negotiations/fit-for-risk terms
Analyze language in existing EM enabling agreements and help
